Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") are entered into by and between Inventology LLC ("Company," "we," "us," "our," or "Inventology") and you ("User," "you," or "your"). By accessing, registering for, or using MacroGenius (the "Service"), you agree to be bound by these Terms. If you do not agree to all terms and conditions, you may not use the Service.

2. Use License

2.1 Grant of License

Subject to these Terms and your compliance therewith, the Company grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for lawful purposes only.

2.2 Restrictions

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Reproduce, distribute, or transmit any content without authorization
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Create automated tools or scripts to access the Service without permission
  • Harass, threaten, or abuse other users
  • Submit false, inaccurate, or misleading information
  • Impersonate any person or entity

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and password.

3.2 Account Responsibility

You are responsible for all activity that occurs under your account, including any unauthorized access. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to terminate or suspend your account at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease.

4. User Content

4.1 Content Ownership

You retain all ownership rights to content you create or upload (recipes, meal plans, images, etc.). By submitting content, you grant the Company a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content to provide and improve the Service.

4.2 Content Responsibility

You are solely responsible for the content you create or upload. You warrant that you own or have the right to use all content you submit and that your content does not infringe on any third-party rights.

4.3 Content Standards

You agree not to submit content that is illegal, offensive, defamatory, obscene, or violates third-party rights. The Company reserves the right to remove content that violates these standards.

5. Sharing and Collaboration

5.1 Public Sharing

You may choose to make recipes and meal plans publicly available. Once shared publicly, this content is considered open source and may be freely viewed, used, modified, and redistributed by other users under the MIT License. By making content public, you agree to release it under the MIT License and grant all users permission to use it for any purpose, including commercial purposes, without attribution.

5.2 Private Sharing

You may share content privately with specific users. Both parties agree to use shared content only as intended and to respect the privacy of shared information.

6. Intellectual Property Rights

6.1 Company Intellectual Property

All intellectual property related to the Service, including software, trademarks, logos, and original content created by the Company, is owned by Inventology LLC. You may not use, reproduce, or distribute Company intellectual property without prior written consent.

6.2 Open Source

MacroGenius is open source software released under the MIT License. The terms of the MIT License govern your use of the underlying source code.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE COMPANY MAKES NO WARRANTY, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE COMPANY DOES NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL INVENTOLOGY LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Indemnification

You agree to indemnify, defend, and hold harmless Inventology LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your violation of these Terms, your use of the Service, or your infringement of third-party rights.

10. Third-Party Services

The Service may integrate with third-party services. The Company is not responsible for the accuracy, availability, or functionality of third-party services. Your use of third-party services is governed by their terms and conditions.

11. Service Modifications

The Company reserves the right to modify, suspend, or discontinue the Service at any time, with or without notice. We are not liable for any loss of data or functionality resulting from modifications or discontinuation.

12. Payment Terms

MacroGenius is provided free of charge. If we introduce premium features in the future, payment terms will be clearly disclosed at the time of purchase.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the courts of appropriate jurisdiction.

14. Dispute Resolution

14.1 Informal Resolution

In the event of a dispute, you agree to first attempt to resolve it informally by contacting the Company.

14.2 Arbitration

Any dispute that cannot be resolved informally shall be resolved by binding arbitration in accordance with applicable arbitration rules, except that each party may seek injunctive relief in a court of competent jurisdiction.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be removed, and the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the Service and supersede all prior understandings and agreements.

17. Amendment

The Company reserves the right to amend these Terms at any time. Changes will be effective upon posting to the Service. Your continued use of the Service constitutes acceptance of amended Terms.
